For pickup orders, you are responsible for collecting your order within the designated time window. Wing Snob is not responsible for the quality of food products that are not collected within a reasonable time after they are ready.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, affiliates, contractors, licensors, successors, and assigns from and against any and all claims, demands, liabilities, losses, damages, judgments, awards, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

You further agree that such courts shall have personal jurisdiction over you.

Nothing in these Terms limits the right of Wing Snob to seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") informally by contacting Wing Snob at [email protected] with a written description of the Dispute, your name, contact information, and the relief requested. We will attempt to resolve the Dispute informally within thirty (30) days of receiving your written notice. If the Dispute is not resolved within that period, either party may proceed to binding arbitration as described below.

14.2 Binding Arbitration

EXCEPT AS PROVIDED BELOW, ANY DISPUTE THAT IS NOT RESOLVED INFORMALLY SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), INCLUDING ITS CONSUMER ARBITRATION RULES, AS AMENDED FROM TIME TO TIME. THE ARBITRATION SHALL BE CONDUCTED IN THE UNITED STATES. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

The arbitration will be conducted in English. The arbitrator shall have the authority to award the same damages and relief that a court could award, subject to the limitations set forth in these Terms. The arbitrator shall not have the authority to award relief that exceeds what is permitted under these Terms.

14.3 Class Action Waiver

YOU AND WING SNOB EACH AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE — WHETHER THROUGH ARBITRATION OR IN COURT — WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR WING SNOB WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending the outcome of arbitration. Small claims court actions that meet the applicable court's jurisdictional requirements are also excluded from mandatory arbitration.

15. Term and Termination
